Terms and Conditions
These terms and conditions ("Terms") apply to all sale and purchase of goods ("Goods") and services ("Services") effected through K12 Buddies online shopping platform (“K12 Buddies”) operated by Broad Gain Trading Limited ("Broad Gain", “we”, “us” and “our”) ("Website").
Additional terms and conditions specific to particular Goods or Services may be applicable to your use of the Websites and/or your placement of an order ("Additional Terms"). By accessing to the Website and/or placing an order through the Website ("Order"), you accept and agree to be bound by these Terms, the Additional Terms, the terms and conditions relating to membership of the K12 Buddies ("Membership Terms") and Privacy Policy ("Privacy Policy") set out on the Website (together, the "Full Set of Terms"). If you do not accept the Full Set of Terms, you must refrain from using the Website. We reserve the right to amend the Full Set of Terms from time to time without prior written notice to you. The amended terms and conditions are effective from the date they are published on the Website. Your continued access and use of the Website shall represent your unconditional acceptance of the latest version of the Full Set of Terms.
To the extent of any discrepancy or inconsistency between the Terms, the Additional Terms, the Membership Terms and/or the Privacy Policy, the order of precedence will be the Additional Terms, the Terms, the Membership Terms and the Privacy Policy. To the extent of any discrepancy or inconsistency between the English and the Chinese versions of the Full Set of Terms, the English version will prevail.
- Sale and Purchase
- We will only deliver Orders within Hong Kong Special Administrative Region of the People's Republic of China ("Hong Kong").
- We will sell and deliver the Goods and provide the Services to end user customers only. You confirm and warrant that your Order of Goods and/or Services is for your and/or your child(ren)’s (“You”, “Your”) personal use as an end user, and not for resale to any other third party or for any other commercial purposes whatsoever. We reserve the right to decline your Order if we reasonably believe that your purchase of Goods and/or Services is not for personal use as an end user.
- Certain Goods and Services are subject to Additional Terms. Kindly ensure that you have understood and agreed to the terms and conditions set forth in the description box of the specific Goods or Services before placing an Order.
- Except where otherwise explicitly specified, we are not the seller or supplier of the Goods and Services. We are responsible for managing and administering the Website, arranging Order processing and where applicable, fulfillment for the Goods and Services you ordered from the suppliers through the Website.
- We may take into account the membership account through which such Orders are placed, the credit/debit card used for payment thereof, your Internet protocol (IP) address and such other distinctive aspects of such Orders, whether independently or collectively, in tracing and/or identifying the Orders placed by you. If any dispute arises under an Order, our determination will be final and conclusive.
- Placing Orders
- The online shopping facility on the Website is available only to registered members of the Website.
- You represent and warrant that you are at least 18 years old and have the legal capacity to enter into legally binding contracts.
- Information contained on the Website constitutes an invitation to treat only, which may not be regarded as an offer by us to supply any Goods or Services.
- We make no guarantee that the Goods and Services shown on the Website will be available for sale at all times.
- You may place an Order by completing the following four steps: (i) adding the Goods and/or Services into your "shopping cart"; (ii) filling in the electronic order form ("Order Form"); (iii) submitting the completed Order Form; and (iv) submitting confirmation of your Order ("Confirmation") ((i) to (iv) collectively, "Order Process"). Once you have submitted the Confirmation, you may not cancel or vary the Order through the Website. If you require any assistance, please contact our customer service representative by sending email to [email protected] for assistance. To the fullest extent permitted by applicable law, we reserve the right to decline any request for cancellation or variation of the Order.
- Your "shopping cart" can only accommodate a certain number of Goods and/or Services. This number may change from time to time and will be specified in the Order. If you wish to purchase more than that number of Goods and/or Services, you will need to complete the Order Process and the payment process set out herein for the first batch of Goods and/or Services, and then repeat the same process for the next batch of Goods and/or Services that you intend to purchase subject to any daily purchase limit and maximum aggregate value of Goods and/or Services.
- When you place an Order, you are making an offer to buy from the supplier of the Goods and/or Services contained in that Order. We have absolute discretion to accept any Order or to decline any Order without ascribing any reason for declining an Order.
- If your Order is accepted, you will receive a written acceptance ("Acceptance") by email. This communication will be our acceptance of your order from us or on behalf of the supplier. A legally binding contract for the sale and purchase of Goods and/or Services between you and us will only be formed when an Acceptance has been issued. The Full Set of Terms, together with the Order and the Acceptance, constitute the entire agreement and understanding between you and us in relation to the sale and purchase of the Goods and/or Services ("Contract") and will supersede all previous correspondence, understandings and agreements, if any, between you and us in respect of the same. To the extent of any inconsistency between the terms of Order and Acceptance and the Full Set of Terms, the terms of Order and Acceptance will prevail.
- Notwithstanding any provision to the contrary, we reserve the right to refuse processing or fulfilling an Order (whether accepted or not) in the event that any lawful reason arises or any circumstance not within our control or expectation occurs which prevents or restricts us from delivering the Goods or providing the Services under such Order or which otherwise renders us unable to fulfil or perform such Order. In such an event, we will refund to you the amount already paid by you for such Goods and/or such Services (excluding any fees charged by banks, credit/debit card companies or other service providers).
- The quantity, description and specification (if any) of Goods and/or Services set out in a Acceptance will be final and conclusive evidence of the same. Despite the foregoing, while we will make every effort to describe the Goods and/or Services as accurately as possible, the actual characteristics of the Goods (including but not limited to colour, size, and materials used) and those of the Services (including but not limited to the descriptions or details of the programmes) may differ slightly from those set out on the Websites and/or Acceptance. To the fullest extent permissible under applicable law, we expressly disclaim any representation or warranty as to the accuracy of the characteristics of the Goods and Services, and we will not be liable to you for any inconsistency or discrepancy in respect thereof.
- You are responsible for ensuring the completeness and correctness of all information provided in connection with your Order. We will not be liable for any failure or delay in discharging our obligations or performing our duties under a Contract if such default is related in any way to incomplete, incorrect or misleading information provided by you. You undertake to indemnify and hold harmless us, our officers, agents, employees, contractors, other representatives and affiliated companies (including but not limited to our holding companies, subsidiaries and group members) from and against all claims, losses, damages, charges, taxes, duties, costs and expenses incurred or suffered as a result of your provision of incomplete, incorrect or misleading information.
- Payment Terms
- Unless otherwise specified by us, all prices quoted on the Websites are in Hong Kong dollars and are subject to adjustment at our absolute discretion from time to time without prior notice to you.
- The purchase price of Goods and Services ("Price") will be the price specified in the payment stage and the total price stated therein will be final and conclusive.
- Unless otherwise specified by us, payment for Goods and/or Services will be effected in Hong Kong dollars through our payment gateway provided in the Website ("Payment Gateway"). You hereby represent and warrant that you are the legitimate holder of the credit/debit card or legitimate account holder of the online payment platform used for payment for the Goods and/or Services, including Faster Payment System (“FPS”), WeChat Pay and Alipay. If the credit/debit card or online payment platforms is not denominated in Hong Kong Dollars (HKD), the final price charged in your currency will be calculated by your issuing bank or card provider or payment platform.
- Your credit/debit card/FPS/WeChat Pay/Alipay payment will be processed by such service provider as we may engage from time to time ("Payment Processor"). Your credit/debit card/ online payment platform account particulars will be passed onto the relevant financial institution (where applicable) through the Payment Processor. We do not and will not retain any of your credit/debit card/online payment platform account particulars.
- We make every attempt to avoid errors in pricing and product information. If a mistake does occur or circumstances set out in Clause 2(ix) arises, we reserve the right and absolute discretion to correct it, refuse or cancel any Order placed, or terminate the relevant Contract. If we cancel your Order and if you have already made any payment, we will credit to your account any sum deducted by us from your credit card or refund to your online payment platform account as soon as possible but in any event within thirty (30) days of your Order. If you make the payment through FPS, refund will be made by way of cheque. You accept that we will not be obliged to offer any compensation for disappointment suffered.
- We use third party Payment Processor to process online transactions. When you place an Order, you agree and accept that your payment information (including but not limited to your credit/debit card numbers, FPS/WeChat/Alipay account details and your name and contact numbers) will be collected and processed by us and the Payment Processor subject to its terms and conditions. You agree and accept that you are solely and exclusively responsible for any losses incurred or sustained by you in making transactions through this Website, and in no event shall any such losses in whole or in part be borne by us.
- When you place an Order you authorise us to proceed your payment for the amount of the Order at the time we send our Acceptance of your Order and you represent to us that you shall be authorised to make such payment. Title in the Goods does not pass to you until payment has been received.
- We will not be liable for any loss or damage arising directly or indirectly from:
- your failure to protect your personal data during the course of effecting any payment online;
- your failure to provide complete and accurate information during the online payment process; or
- any other reasons in connection with the specified mode of payment.
- Delivery of the Goods and Providing of the Services
- Subject to full payment in accordance with the provisions herein, the Goods will be delivered to the campus where your child is currently enrolled (“Campus”) for collection. You should present a copy of the Acceptance when collecting the Goods. The Services may be provided in the Campus or outside of the Campus. Please read the Additional Terms carefully, if any.
- Once your Order is placed and payment is confirmed, our team will process and pack your items within 5 - 7 business days. Please note that weekends and public holidays may affect processing times. While we endeavour to deliver the Goods to the Campus within approximately 5 to 7 business days after your purchase, we make no guarantee or warranty as to the specific delivery date and time. The delivery may be subject to factors beyond our reasonable control or other uncertainties that may affect the timeline.
- Time of delivery of the Goods will not be of the essence and is only our best estimate. Under no circumstances will we be liable to you for any delay (however caused) in respect of the delivery of the Goods (whether or not the same has been notified to you).
- Once your Order is shipped and arrived at the Campus, you may receive a notification from the Campus for collection. Once you receive the notification confirming the delivery of your Goods to the Campus, kindly contact the Campus and make arrangement for collection. It is important that you arrange for the Goods to be collected or delivered to you within 7 business days upon receiving the notification, without any undue delay.
- In circumstances where Goods is delivered by suppliers, you agree and accept that the supplier shall be solely responsible to you for delivering the Goods in accordance with the delivery arrangement as agreed between you and the supplier.
- We reserve the right to revise any delivery service terms from time to time without prior notice.
- Passing of Risk and Title
- Title to the Goods will pass to you upon our receipt of your full payment for the Goods. Risk in the Goods will pass to you upon delivery of the Goods to the Campus. Notwithstanding anything contained herein, we will not be responsible for any damage to the Goods due to any omissions, acts or events beyond our reasonable control.

- Exchanges Services
- Unless otherwise specified, no return or exchange of Goods and Services will be accepted. Please read the returns or exchanges policy as specified by the supplier (where applicable) carefully before you place an Order.
- Subject to the returns or exchanges policy of individual supplier, Goods may be returned or exchanged within seven (7) days of receipt if the Goods you ordered are faulty, defective or damaged (with no fault on your part), or the Goods are not what you ordered, or the delivery is of an incorrect quantity, provided that:
- the Goods is unused and in the condition originally sold together with all parts and accessories which are provided with the Goods including manuals, certificates, labels, tags, consumables, bags, and boxes;
- the packaging of the Goods must be in the condition in which it was delivered to you; and
- a request for return or exchange is sent to our customer service representative by sending email to [email protected] and the Goods is returned to the supplier by you within a limited period specified by the supplier or through other means.
- You agree and accept that Goods is acceptable for exchange subject to stocks availability.
- You agree and accept that it will be at the supplier’s sole discretion whether the Goods is accepted for return or exchange. Under no circumstances will we accept the return of any Goods directly to us or be held liable for your damages for whatever reasons.

- Should you require any assistance, you may contact our customer service ("Customer Service") through [email protected]. While we endeavour to respond to each and every enquiry as soon as possible, we are not responsible and/or liable for any delayed response or omission to respond.
- No statement or information given during the Customer Service constitutes an offer to sell any goods, or a representation, condition, warranty or undertaking (express or implied) given by us.
- Disclaimers and Liability
- We do not represent or warrant that access to the Website (including using our applications or software), or any part of it, will be uninterrupted, reliable or fault-free.
- We do not represent or warrant to you that the Website or any of its contents (including the product filters and the results obtained from the use of product filters) will be accurate, complete or reliable.
- You agree that no data transmission over the Internet can be guaranteed as totally secure. Whilst we strive to protect such information, we do not warrant and cannot ensure the security of any information which you transmit to us. Any information which you transmit to us is transmitted at your own risk.
- To the extent permitted by law, we exclude all liability (whether arising in contract, tort or otherwise and whether or not due to our negligence) which we may otherwise have to you as a result of:
- any technical, factual, textual or typographical inaccuracies, errors or omissions on or relating to the Website (including using our applications or software) or any information on the Website;
- the unavailability of the Website (or any part of it), Goods or Services;
- any delay in providing, or failure to provide or make available, Goods or Services, or any negligent provision of Goods or Services;
- any Goods not being of merchantable quality or fit for their intended purpose; or
- any misrepresentation on or relating to the Website, the Goods or the Services.
- We do not represent or warrant that:
- any Services (whether or not provided by us) will be provided with due care and skill; or
- any Goods (whether or not provided by us) will be of merchantable quality or will be fit for any purpose (even if that purpose has been previously notified to us).
- You agree and accept that under no circumstances will we accept refund request of any Services purchased from the Website or be held liable for any loss or damage to properties nor for accidents, injury or death, suffered by you or your child as a result of your purchase of the Services (including but not limited to attending the courses or programmes offered by the supplier).
- The Full Set of Terms and the Contract set out the full extent of our obligations and liabilities in respect of the Websites and sale of Goods and Services. Except as expressly stated otherwise, and to the extent permitted by applicable law, the Website and the Goods and Services are provided "as is", without any representation, warranty or condition, whether express or implied, whether based on common law, statute or otherwise. We specifically disclaim and exclude any implied warranties of quality, merchantability, fitness for a particular purpose, non-infringement and any additional damages, compensation or indemnification.
- To the extent permitted by applicable law, we and all our officers, agents, employees, contractors, other representatives and affiliated companies (including without limitation holding companies, subsidiaries and group members) will not be liable for any: (i) indirect, special, incidental, consequential or punitive losses, damages or expenses; and (ii) damages for economic loss arising out of, in connection with or related to use of the Website and the sale of Goods and Services, howsoever arising, including as a result of negligence.
- The exclusion of liability herein applies regardless of the basis on which such liability arises, whether for breach of contract, in tort (including negligence), in equity, under statute, under an indemnity, for breach of conditions and warranties implied by custom, the general law or statute, in respect of any claims by a third party against you or otherwise and whether or not we were aware or should have been aware of the possibility of such loss.
- Our maximum aggregate liability to you, or to any third parties, whether in contract, tort or otherwise, arising out of, or in connection with the Contract is limited to the amount paid by you for the Order in respect of which the claim arises.
- Each of the above exclusions or limitations shall be construed as a separate, and severable, provision of these Terms.
- Warranties
- To the extent permitted by applicable law, we give no warranty as to the accuracy of the information contained on the Websites and accept no liability arising from any inaccuracy of the information therein contained. Any typographical error, clerical or other error or omission on the Website, sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by us may be corrected or amended at any time without any prior notice or liability on our part.
- To the extent permitted by applicable law, we give no warranty as to the accuracy of the information contained on the Websites and accept no liability arising from any inaccuracy of the information therein contained. Any typographical error, clerical or other error or omission on the Website, sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by us may be corrected or amended at any time without any prior notice or liability on our part.
- Covenants
You represent, warrant and covenant that you will not:- use the Website for any unlawful or fraudulent purpose;
- post, publish, transmit, reproduce, distribute or in any way exploit any Content (as defined in clause 11(ii)) obtained through the Website for commercial purposes;
- interfere with or disrupt the operation of the Website or networks or violate any requirements, procedures, policies or regulations of such networks;
- infringe any copyright, design right and Intellectual Property Right (as defined below) in the Goods and Services.
- Intellectual Property Rights
- Intellectual Property Rights means all existing and future inventions, patents, copyright, know-how, database rights, registered designs, design rights, trade marks (whether registered or not), and the goodwill therein and applications for any of the foregoing and all other intellectual property rights, in any part of the world, for the full term of such rights and any renewals and extensions thereof.
- Content means all text, graphics, logos, icons, photographs, images, moving visual representational images or a combination of sounds and such images, audio, computer programs, and other material featured, displayed or used in or in relation to the Website.
- The Website together with all Content made available as part of the Website is our property or is licensed by us and is protected by copyright, trademarks, service marks, patents or other proprietary rights and laws. Any authorised used without our prior written permission is strictly prohibited.
- All trade marks, product names and company names or logos used in the Website are our property or that of their respective owners. No permission is given by us in respect of the use of any such trade marks, get-up, product names, company names, logos or titles and such use may constitute an infringement of the holder's Intellectual Property Rights.
- General Terms
- No failure or delay by us in exercising any right, power or remedy will operate as a waiver thereof, nor will any single or partial exercise of the same preclude any further exercise thereof or the exercise of any other right, power or remedy. Without limiting the foregoing, no waiver by us of any of your breach of any provision of the Full Set of Terms or the Contract will be deemed to be a waiver of any subsequent breach of that or any other provision of the same.
- We will not be liable for any default of obligations or duties directly or indirectly caused by or resulted from acts of God, fire, flood, accident, riot, war, terrorist attack, government intervention, embargoes, strikes, labour disputes, equipment failures (including but not limited to internet system failure), or any other causes beyond our reasonable control.
- Where representations and warranties are made to us and to suppliers of Goods through the Website, you acknowledge and agree that such representations and warranties are intended to grant rights to, and operate for the benefit of, all such suppliers and that each such supplier may rely upon and enforce such representations and warranties against you.
- You may not assign or transfer any rights or obligations under the Full Set of Terms or the Contract, whether in whole or in part, to any third person without our prior written consent.
- We may assign these Terms or appoint any third party, including our group companies, to provide the Services to you on our behalf or to perform any of our obligations under these Terms.
- The provisions contained in each clause of the Full Set of Terms and the Contract are enforceable independently of each of the others and its validity will not be affected if any of the others is invalid. If any provision is determined to be illegal, invalid, or unenforceable, the validity and enforceability of the remaining provisions will not be affected and, in lieu of such illegal, invalid, or unenforceable provision, there will be added as part of the Full Set of Terms and the Contract one or more provisions as similar in terms as may be legal, valid and enforceable under the applicable law.
- Both the Full Set of Terms and the Contract are governed by and construed in accordance with the laws of Hong Kong.
- The parties hereby submit to the exclusive jurisdiction of the courts of Hong Kong.
Membership Terms and Conditions
K12 Buddies is an online shopping platform operated by Broad Gain Trading Limited ("Broad Gain"). The terms and conditions set out below ("Membership Terms") are binding on all members of K12 Buddies ("Members"). By applying for membership of K12 Buddies (“Membership”) and becoming a Member through this website ("Website"), you agree to be bound by these Membership Terms (as may be in force from time to time) upon becoming a Member. If you do not agree to the Membership Terms, please DO NOT proceed further with your registration for the Membership.
Any reference in these Membership Terms to "we", "us" and "our" is a reference to Board Gain and our parent, subsidiary, affiliated, associated and/or related companies ("Affiliates").
- ENROLMENT
- Eligibility – Any person who is aged 18 or above and satisfies the Membership entry requirements as may be specified by K12 Buddies from time to time is eligible for application for Membership.
- Personal Basis Only – Registration for Membership shall be on personal basis and K12 Buddies does not accept any registration on a company or corporate basis.
- Discretion to Decline – K12 Buddies and/or Broad Gain is entitled to decline any registration for Membership at its absolute discretion without giving any reason.
- NON-TRANSFERABILITY
- Non-Transferability – The Membership and any special offers provided by the K12 Buddies ("Benefits") are not transferable by the Member and may only be used or enjoyed by the Member to whom the Membership and the Benefits are granted or issued.

- PROOF OF ELIGIBILITY
- Proof – Where applicable, an applicant for Membership or a Member, as the case may be, is required to provide supporting documents for proof of his eligibility to Membership thereof as may be specified by K12 Buddies and/or Broad Gain from time to time.
- Keeping Records – K12 Buddies and/or Broad Gain is entitled to make copies of the supporting documents produced by the applicants of Memberships or Members to K12 Buddies and retain the same for audit purpose.
- WEBSITE
- Use – The Website and its use by any person are subject to the applicable terms and conditions and the privacy policy of this Website.

- ENJOYMENT OF BENEFITS
- Additional Terms – K12 Buddies and/or Broad Gain is entitled to impose additional terms and conditions in respect of the Membership and the Benefits from time to time without prior notice. However, K12 Buddies and/or Broad Gain shall use its best efforts to announce the additional terms and conditions as soon as practicable. Should there be any inconsistency between these terms and conditions and those additional terms and conditions, those additional terms and conditions shall prevail.
- Limitation – All Benefits are offered subject to availability and are offered only while stocks last (if applicable).
- Eligibility – K12 Buddies and/or Broad Gain is entitled to grant Benefits to a Member only when the Membership account of this Member is valid and in good standing as recognized by K12 Buddies and/or Broad Gain.
- Different Benefits – K12 Buddies and/or Broad Gain is entitled to grant different Benefits to different Members subject to different terms and conditions at the absolute discretion of K12 Buddies and/or Broad Gain.
- No Voting Right – Members have no voting right as to the constitution, operation or management of K12 Buddies and/or Broad Gain nor any right in or any claim over any assets of K12 Buddies and/or Broad Gain.
- COURSE AND PROGRAMME
- If you purchased any services from K12 Buddies (“Programme”), such as extra-curricular course or programme, you agree to be bound by the policies and rules of the Programme and any other rules specified by the service provider from time to time.
- If you purchased any services from K12 Buddies (“Programme”), such as extra-curricular course or programme, you agree to be bound by the policies and rules of the Programme and any other rules specified by the service provider from time to time.
- TERMINATION OR SUSPENSION OF MEMBERSHIP
- Right to Terminate or Suspend – K12 Buddies and/or Broad Gain is entitled to forthwith terminate or suspend the Membership of any Member in case the Member breaches any Membership Terms herein or does not follow any instruction of K12 Buddies and/or Broad Gain from time to time. In addition, K12 Buddies and/or Broad Gain reserves the right to forthwith terminate or suspend the Membership of any Member at any time at the sole discretion of K12 Buddies and/or Broad Gain without giving any prior notice, reasons and compensation to such Member. K12 Buddies and/or Broad Gain shall not be liable for any loss or damage resulting therefrom to any party in any event.
- Not Affecting Other Rights – Termination or suspension of Membership of the Member for whatsoever reasons by K12 Buddies and/or Broad Gain shall be without prejudice to the accrued rights and remedies that K12 Buddies and/or Broad Gain may have against such Member.
- Termination of Membership – Members may terminate their Membership at any time by sending an email to [email protected]. The content must include the Member’s name, registered mobile number and email address used for identity verification.
- DISCLAIMERS AND EXCLUSION OF LIABILITIES
- Exclusion and Limitation of Liability – All liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages, arising from the use of this Website, if any, on the part of K12 Buddies and/or Broad Gain, its employee, Affiliates, agents, suppliers and partner organizations as set out in these Membership Terms, expressed or implied by statute or otherwise, are hereby excluded to the fullest extent permitted by law. Members should be aware that they use this Website wholly at their own risk. Without prejudice to the foregoing, the maximum liability of Broad Gain to any Member shall not exceed HKD100.00 in aggregate in any event.

- RIGHT OF MODIFICATION AND TERMINATION.
- Right to Modify – K12 Buddies and/or Broad Gain is entitled to, at any time, modify the structure, contents and other features of the Website, including but not limited to the conditions for joining the Membership.
- Right to Terminate – K12 Buddies and/or Broad Gain is entitled to amend, suspend and terminate your Membership and/or cease operation of the Website at any time for any considerations including commercial considerations as it deems fit without any reason or compensation. K12 Buddies and/or Broad Gain shall not be liable for any loss or damage resulting therefrom to any party in any event.
- PARTIAL INVALIDITY
The illegality, invalidity or unenforceability of any provision of these Membership Terms under the law of any jurisdiction shall not affect its legality, validity or enforceability under the laws of any other jurisdiction nor the legality, validity or enforceability of any other provision. - WAIVER
No waiver of any breach under these Membership Terms will amount to a waiver of any other breach. - THIRD PARTIES
A person or entity who is not a party to these Membership Terms shall have no right to enforce of these Membership Terms under the Contracts (Rights of Third Parties) Ordinance (Cap. 623, Laws of Hong Kong). - MISCELLANEOUS
- Right to Transfer – K12 Buddies and/or Broad Gain is entitled to transfer, assign, charge, sub-contract or otherwise dispose of any of the rights or obligations under these Membership Terms and the Website on such terms and conditions as K12 Buddies and/or Broad Gain may at its sole discretion think fit at any time without any prior notice to the Member.
- Right to Amend – K12 Buddies and/or Broad Gain is entitled to revise and amend these Membership Terms at any time without any prior notice.
- Right to Interpret – The right to interpret these Membership Terms is vested in K12 Buddies and/or Broad Gain. In case of any dispute, the decision of K12 Buddies and/or Broad Gain shall be final and binding on all parties concerned.
- English Version Prevails – The Chinese version of these Membership Terms is for reference only. In case of discrepancies between the English version and the Chinese version, the English version prevails.
- Entire Agreement – These Membership Terms and any provision or document expressly referred to herein constitute the entire agreement between K12 Buddies and/or Broad Gain and a Member and supersede all previous discussions, correspondence, negotiations, previous arrangement, understanding or agreement between K12 Buddies and/or Broad Gain and a Member relating to the subject matter.
- Governing Law – These Membership Terms shall be governed by the laws of Hong Kong Special Administrative Region ("Hong Kong") and shall be subject to exclusive jurisdiction of the courts of Hong Kong.
